Business Compliance in Bali means a PT PMA needs more than a valid company deed and NIB. After incorporation, the company must keep its corporate records, OSS licensing, tax reporting, investment reporting, and actual operations aligned. The applicable obligations depend on the registered KBLI, scale, risk level, location, and whether the business has begun commercial activity.
Use this guide as a practical review framework. It does not replace the conditions shown in your own OSS record or advice on a specific transaction.
1. Keep AHU and OSS Company Data Aligned
Start with the deed, articles of association, and Ministry of Law/AHU records. Compare the company name, shareholders, directors, capital, registered address, and business purposes with the current OSS profile. A corporate change may need a formal AHU process before the licensing record can be brought into line. The AHU guide to PT amendments describes the change workflow.
For example, adding a foreign shareholder to a domestic PT is more than an edit to its OSS profile. The ownership and investment position must be reviewed first. See our PT PMDN to PT PMA conversion checklist. For address, activity, or management changes, use the AHU and OSS change guide to identify the correct sequence.
2. Check Each Licensed Activity and Its Conditions
The NIB identifies the business, but it does not mean that every activity may begin without further steps. Indonesia’s OSS portal explains that risk-based licensing uses four risk levels with different outputs and obligations. Government Regulation No. 28 of 2025 is the current framework for risk-based business licensing. Review the output for each KBLI and project location, including any verified standard certificate, permit, or PB UMKU that applies.
Compare the activity actually carried out with the registered five-digit KBLI, the location, and any sector-specific requirements. A villa operator, restaurant, and consulting company may have different conditions even when all have an NIB. Our OSS requirements by KBLI guide explains how to read the activity-specific result. Keep evidence of approvals and any continuing conditions attached to the license.
3. Review Location Before Operating or Expanding
A registered address is not, by itself, proof that the premises can be used for the proposed activity. Before signing a long lease, opening another outlet, or changing use of a property, check the location, spatial compatibility, building documents, and any licensing conditions relevant to the activity. The route depends on the site and sector.
If the operating location changes, compare the corporate domicile, OSS business location, and the actual premises. Our business address change guide separates changes that may involve AHU from those requiring an OSS update.
4. Maintain Tax Records and File Applicable Returns
A PT PMA should maintain reliable books and determine which tax returns apply to its transactions and status. The Directorate General of Taxes’ corporate taxpayer page lists annual corporate income tax returns as well as periodic income tax and VAT reporting pathways. The obligation to file a particular periodic return depends on the company’s tax position and activity; avoid assuming that every monthly form applies to every PT PMA.
Reconcile invoices, payments, payroll, withholding, and financial statements with the returns actually filed. The tax office’s guidance on corporate financial statements explains the role of the balance sheet and income statement in preparing the annual return. If the company hires staff, review employment and withholding obligations with a qualified adviser rather than treating payroll as an afterthought.
5. Check Investment Reporting and Ongoing Obligations
Determine whether the company and its projects must submit an Investment Activity Report (LKPM), then verify the applicable period and data in OSS. The official OSS LKPM guidance provides the reporting route. Project realization, location, employment, and licensing progress should be checked against the information already registered; do not copy figures from an earlier period without review.
Also keep a calendar for conditions tied to each sector approval, lease, labor arrangement, and company decision. Some approvals have continuing requirements, but there is no universal renewal schedule for every NIB or PT PMA license.
A Practical PT PMA Compliance Review
| Record | Question to answer | Action when there is a mismatch |
|---|---|---|
| Corporate and AHU | Do ownership, directors, capital, purposes and address match the current deed? | Review the corporate amendment route with the notary or legal adviser. |
| OSS and KBLI | Does each actual activity and location match its licensing output and conditions? | Review the appropriate OSS update and any additional approval before operating. |
| Tax and books | Are transactions recorded and the applicable returns reconciled? | Correct records and review filing or amendment steps with the tax team. |
| LKPM and projects | Do project data and reported realization reflect the business? | Confirm reporting status and the current OSS guidance. |
When to Seek a Focused Review
A review is especially useful before admitting a new shareholder, adding a KBLI, opening a new site, starting an activity that needs additional approval, or preparing an investment or tax report with inconsistent data. Gather the latest deed and AHU records, NIB and OSS outputs, location documents, tax registration and recent filings, and any sector approvals. This lets the adviser identify a concrete sequence and scope instead of quoting a generic compliance package.

FAQ Business Compliance in Bali
What should a foreign-owned company review after incorporation?
Compare the deed and AHU records, OSS activities and locations, licensing conditions, tax books, investment reporting and the company’s actual operations.
Does an NIB settle every licensing requirement?
No. Check the risk level and output for each activity, including any verified standard certificate, permit or PB UMKU that applies.
Should changes be checked in both AHU and OSS?
Compare the corporate records with OSS before making a change. The correct sequence depends on whether the change affects the deed, AHU record, activity, location or another licensing condition.
